Welcome to OpenXLearn (“Company,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of the OpenXLearn website at https://www.openxlearn.com (“Site”), including all related applications, content, services, and features (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

1. Eligibility

The Service is designed for students preparing for standardized tests, including the SSAT, and their parents or guardians. You must be at least 13 years of age to create an account. Users under 18 must have verifiable parental or guardian consent. By using the Service, you represent and warrant that you meet these eligibility requirements.

2. Account Registration

  • You must provide accurate, current, and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You agree to notify us immediately at OpenXLearn@outlook.com if you suspect unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that are found to contain false information or that violate these Terms.

3. Description of Service

OpenXLearn provides an AI-powered education platform offering:

  • Practice Drills & Mock Exams — Standardized test preparation with detailed explanations and performance tracking.
  • AI Tutoring — AI-powered tutoring sessions that provide personalized explanations and guidance.
  • Courses & Lessons — Structured learning modules covering exam topics.
  • Vocabulary Builder — Interactive vocabulary practice tools.
  • Writing Sample Practice — Essay prompts with AI-generated feedback.
  • Progress Tracking — Dashboards and analytics to monitor learning progress.

The Service is provided for educational purposes only. While we strive for accuracy, we do not guarantee specific test score improvements or admission outcomes.

4. Subscriptions, Billing & Payments

4.1 Plans & Pricing

OpenXLearn offers monthly subscription plans (Essential, Growth, Scholar, and Unlimited) and one-time prepaid hour packages. Current pricing is available on our Pricing page. All prices are quoted in U.S. Dollars and are subject to applicable taxes.

4.2 Free Trial

New users may be eligible for a free trial of 5 hours over 7 days, whichever limit is reached first. Free trial access requires a valid account and may require phone verification to prevent abuse. Only one free trial is permitted per individual. Attempts to create multiple accounts to obtain additional trials may result in account termination.

4.3 Recurring Billing

Subscriptions are billed on a recurring monthly basis. By subscribing, you authorize us to charge your payment method on file automatically at the beginning of each billing cycle. Subscription hours reset at the start of each billing period. Unused included hours do not roll over to the next cycle.

4.4 Prepaid Hour Packages

Prepaid hour packages are one-time purchases. Prepaid hours expire 12 months from the date of purchase and are non-transferable. Prepaid hours may be used with or without an active subscription.

4.5 Payment Processing

All payments are processed securely through Stripe. We do not store your full credit card number on our servers. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge it for all fees incurred.

5. Cancellation & Refund Policy

5.1 Cancellation

You may cancel your subscription at any time through your account settings or the Stripe Customer Portal. Upon cancellation, you will retain access to the Service until the end of your current billing period. No prorated refunds are provided for partial billing periods.

5.2 Refunds

6. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Share your account credentials with others or allow multiple individuals to use a single account.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems.
  • Use automated tools, bots, scrapers, or similar technology to access or extract content from the Service.
  • Reproduce, distribute, publicly display, or create derivative works from the Service's content without written permission.
  • Circumvent, disable, or interfere with security features of the Service, including hour metering, session tracking, or trial limitations.
  • Upload, transmit, or input any content that is harmful, offensive, defamatory, or infringing on third-party rights.
  • Engage in any activity that disrupts, degrades, or interferes with the Service or its infrastructure.

7. Intellectual Property

All content, materials, software, designs, logos, trademarks, and other intellectual property available through the Service are owned by or licensed to OpenXLearn and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its content for personal, non-commercial educational purposes only. This license does not include the right to:

  • Copy, modify, or distribute any content from the Service.
  • Use the Service's content for commercial purposes, including competing educational products.
  • Reverse-engineer, decompile, or disassemble any software used to deliver the Service.

“SSAT” is a registered trademark of the Enrollment Management Association (EMA). OpenXLearn is not affiliated with, endorsed by, or sponsored by EMA. Our materials are independently developed for educational use.

8. AI-Generated Content Disclaimer

Certain features of the Service, including AI tutoring, essay feedback, and explanations, use artificial intelligence and large language models to generate responses. While we strive for accuracy, AI-generated content:

  • May occasionally contain errors, inaccuracies, or incomplete information.
  • Should not be considered a substitute for instruction from qualified educators.
  • Is provided “as is” for educational purposes and should be independently verified when used for critical decisions.

We continuously work to improve the quality of AI-generated content but do not guarantee its accuracy, completeness, or suitability for any particular purpose.

9. User Content

By submitting content to the Service (including essay responses, feedback, and other inputs), you grant OpenXLearn a non-exclusive, worldwide, royalty-free license to use, store, process, and analyze such content for the purpose of providing and improving the Service. This includes using anonymized and aggregated data for analytics and product improvement.

You retain ownership of your original content but are responsible for ensuring it does not violate any third-party rights or applicable laws.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

11. Third-Party Services

The Service integrates with third-party services including but not limited to:

  • Stripe — Payment processing and subscription management.
  • OpenAI — AI tutoring and content generation.
  • Sentry — Error monitoring and performance tracking.
  • NextAuth.js — Authentication.

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE ANY SPECIFIC EDUCATIONAL OUTCOMES, TEST SCORE IMPROVEMENTS, OR ADMISSION RESULTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPENXLEARN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless OpenXLearn and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or the rights of any third party.
  • Any content you submit to the Service.

15. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including for violations of these Terms, suspected fraud, or abusive behavior.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 7, 9, 12–14, and 17) will survive.

16. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on this page and updating the “Effective Date.” For significant changes, we may also provide notice via email or an in-app notification. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in San Francisco, California, and the language of the arbitration shall be English.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action.

18. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and OpenXLearn regarding the Service.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
  • Force Majeure. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
